1. Operator and agreement

These terms govern Iva, IvaDesk’s personal and professional AI assistant, its available iPhone features and web application. The service operator is IvaDesk. By accepting these terms when creating an account or accessing Iva, you agree to them. If you act for an organization, you must have authority to agree on its behalf.

Publishing these terms does not create a purchase, authorize a charge or replace an in-app acceptance required by law. Merely reading this page does not enroll you in Iva.

Support: contact@ivadesk.com. The Privacy Policy explains information handling; these terms do not waive privacy rights or replace a separate required consent.

2. Eligibility and authority

You must be at least 18, or the age of majority where you live if higher, and able to enter a binding agreement. If acting for a business or organization, you must have authority to use its accounts and information.

Iva is developed for personal and professional use with an initial focus on Ontario, Canada. Availability can be limited by location and release. Access to a download or preview does not represent that the service is suitable or legally offered in every location.

3. Service and Early Access

Iva supports personal and professional work involving contacts, clients, cases, tasks, meetings, deals, files, conversations and voice notes where those features are enabled. Features can differ between clients, devices, accounts and builds. Gmail and direct Google Calendar are available to approved pilot accounts with their own connection notices and permissions. These terms do not activate a feature or expand account access.

Early Access may have limits, interruptions, incomplete features and changing interfaces. A preview, roadmap, disabled control or concept image is not a promise that a feature is available. Do not rely on Iva as your only record system or sole means of meeting a critical deadline.

We may improve or change the service. Material changes affecting an agreed paid service will be handled under its applicable agreement and mandatory law. No service-level commitment is established by these terms.

4. Accounts and security

Provide accurate registration information, protect your sign-in methods and devices, and use only accounts and workspaces you are authorized to access. Do not share authentication codes or impersonate another person. Tell us promptly about suspected unauthorized use.

An organization may control access to its workspace. Losing membership or permission can remove your access even if you created a record. Account registration does not automatically grant Early Access admission, administrative privileges or access to another organization.

You are responsible for activity you authorize and for reasonable protection of your credentials; nothing here makes you automatically responsible for a security failure caused by IvaDesk or removes rights that law protects.

5. Your content and our operating permissions

You retain the ownership rights you have in content you provide. You grant IvaDesk only the non-exclusive permission needed to host, store, process, transmit, display and make authorized copies of that content to operate the features you request, protect the service and meet legal obligations.

This permission includes sending selected content to a disclosed processing provider when you request AI analysis. It does not transfer ownership, give an unrestricted right to sell your content, or by itself authorize unrelated advertising, model training or a new use.

After deletion or account closure, operating permission continues only as reasonably necessary for the disclosed deletion/backup process, legal obligations or a permitted retained record. Exact retention practices are subject to the Privacy Policy.

6. Client documents, third-party accounts and recordings

Before uploading or importing information about another person, make sure you have the authority, lawful basis, notices and consents required for the intended storage and processing. Connecting your own account does not establish that you may disclose every file in it.

Use organization-approved tools and follow confidentiality, recordkeeping, professional and regulatory duties. Do not submit information the service is not approved to handle. Data about minors or sensitive financial, health or legal matters may require additional safeguards.

Record conversations only when you have the necessary authority and participant notices or consent. Microphone permission is not participant consent. Review transcripts before relying on them; Iva does not verify every speaker, fact or recording right.

7. Acceptable use

  • Do not use Iva for unlawful activity, fraud, harassment, discrimination, exploitation or infringement of another person’s rights.
  • Do not access another user’s records, bypass permissions or quotas, steal credentials, upload malware, disrupt the service or interfere with security controls.
  • Do not use prompt injection, document instructions or forged messages to impersonate approval, expand access or execute an unauthorized action.
  • Do not scrape or mass-export information without authority, send unauthorized spam, secretly record people or misuse a provider’s permissions.
  • Follow applicable third-party policies, including restrictions on Google-sourced data and prohibited uses of AI. A general account consent does not authorize a prohibited use.

8. AI limitations and professional decisions

AI-generated answers, summaries, drafts, classifications and suggested actions can be incomplete, outdated or wrong. They may misread documents, transcripts, dates or context. Review the relevant source material and the proposed recipient, content and action before relying on or approving an output.

Iva does not independently provide professional mortgage, insurance, legal, financial or real-estate advice, sell or issue a regulated product, or determine a person’s customer eligibility. Use appropriately qualified professionals for advice and decisions. Google-sourced data must not be used for prohibited creditworthiness or lending purposes.

The availability of a feature does not establish regulatory approval, suitability, a certification, a promised outcome or the accuracy of a particular answer. Iva is not an emergency service.

9. Proposals, confirmations and completion

Actions shown by Iva are proposals until you confirm them through the applicable control. Confirming an OAuth permission, uploading a document or requesting a summary is not approval for an unrelated send, share, edit, purchase or deletion.

For an action that is supported, review its exact details before confirming. A confirmed backend result establishes completion within Iva. An assistant’s statement alone does not. For an external action, the relevant provider receipt establishes only the result it actually reports; provider acceptance does not necessarily prove delivery to or reading by a recipient.

If an operation is pending, interrupted or uncertain, check its status rather than assuming success or repeating it. Edited details can require a new confirmation. Iva does not acquire additional authority from instructions inside a file, transcript or AI output.

For supported mail and calendar actions, review the connected account, recipients or participants, content, date, time zone and notification effects. A chat or voice request uses the same permission and confirmation requirements as an on-screen action. An uncertain send must be checked before any retry; neither a draft nor an AI response proves that a message was sent.

10. Integrations and imported copies

You choose whether to connect a third-party service and approve its displayed permissions. Third-party terms, account restrictions, permission changes and availability also apply. IvaDesk does not guarantee continuous access or every provider feature.

Google Drive’s drive.file grant can include editing rights, although Iva’s current integration reads and imports selected files only. Dropbox’s Full Dropbox read/write grant covers the connected account; Iva limits browsing to folders you open, imports to files you select, and supported folder creation or moves/renames to actions you review and confirm.

Importing creates a separate private Iva copy and does not automatically send it to AI. AI analysis is a separate user action. Disconnecting Iva, revoking the provider grant and deleting an Iva copy are separate controls. Disconnecting does not erase existing copies or delete the provider original.

Provider write permissions can be broader than the actions exposed by Iva. Only implemented actions with current account authority and the required review may be used. Background synchronization, broader sharing and additional capabilities are not implied by a connection label.

The initial Google account model connects each Iva user’s own authorized work account. Customer accounts, organization-wide access and additional Google products are not automatically included. Your organization may restrict third-party access even when you can sign in to Google.

For approved pilot accounts, Gmail supports selected-message reading, encrypted drafts stored in Iva, and explicitly reviewed new-message or reply sends. Direct Google Calendar supports selected owned calendars, week loading and reviewed individual timed-event creation or edits. Iva does not currently support Google event deletion, invitations, shared-calendar writes or repeating-event changes. These Mail and direct Calendar screens do not send their content to AI or run background synchronization.

Gmail delivery, meeting invitations and shared provider records can create copies outside Iva. Disconnecting does not recall messages or cancel meetings. You remain responsible for the accuracy of recipients, participants and content you approve, subject to IvaDesk’s own obligations and any rights protected by law.

Google user data and derived content remain subject to the Limited Use restrictions in our Privacy Policy. These terms do not permit selling that data, advertising uses, general-purpose model training or any other use prohibited by applicable Google policies.

11. Payments, subscriptions and refunds

Iva subscription prices, renewals, cancellation arrangements and refund terms have not yet been established. No paid-plan terms or automatic renewal are created by these terms. Prices for separately quoted IvaDesk consulting or managed services are not automatically Iva app subscription prices.

Before any future purchase, the applicable offer must explain the price, currency, taxes, billing period, included limits, renewal terms, cancellation method, any trial or usage charges, and refund arrangements. Paid changes need the acceptance required by applicable law and the relevant purchasing platform.

If purchases are later offered through Apple or another store, its billing and refund process may also apply, subject to mandatory rights. Do not assume deleting an account or uninstalling an app cancels an independently managed subscription.

12. Privacy, storage and service records

Information handling is described in the Privacy Policy and contextual feature notices. Some records may be device-local and others stored in the cloud. A shared account does not mean all data synchronizes across devices or that every local file has a cloud backup.

Keep any independent records or exports needed for your business duties. Do not assume an export contains every linked record, that a device-local note survives uninstalling, or that deletion of one copy removes all separate copies.

These terms do not authorize a broader use of personal information than is permitted by law, the applicable provider policies and the specific consent obtained.

13. Suspension, termination and account closure

You may stop using Iva and request closure through the available account controls or contact@ivadesk.com. Identity verification may be needed. Closing an account, deleting its records and canceling any separately administered billing are distinct steps.

We may restrict or suspend access when reasonably necessary to address a security risk, unlawful activity, material misuse, provider restrictions or a legal requirement. We may terminate for a material breach, with notice and an opportunity to resolve it where appropriate; urgent action may be needed to protect people or the service.

Where practicable and lawful, we will explain the restriction and available next steps. Access to content after termination, export options and lawful retention depend on the implemented controls and Privacy Policy. These terms do not promise immediate deletion or indefinite export access.

14. IvaDesk materials and third-party rights

IvaDesk and its licensors retain rights in the application, design, software, branding and service materials, excluding your content and rights you separately hold. You may use them as needed for authorized service use, subject to these terms and applicable software licenses.

AI output may resemble other output or contain third-party material. Review permissions and accuracy before publishing or using it commercially. IvaDesk does not promise exclusive ownership or non-infringement of every generated answer.

15. Warranties and liability

Subject to rights that cannot lawfully be excluded, Early Access is provided on an “as available” basis. We do not promise uninterrupted operation, compatibility with every device or third-party service, error-free AI output or suitability for an unassessed professional use.

To the extent permitted by applicable law, neither party is liable under these terms for indirect or consequential losses that the law permits it to exclude. These terms do not set a monetary liability cap. Liability that cannot lawfully be excluded or limited remains subject to applicable law.

No exclusion or cap limits liability for fraud, wilful misconduct, gross negligence, or another obligation that cannot lawfully be limited, including applicable consumer rights. Nothing transfers IvaDesk’s own legal privacy or security responsibilities to a user.

16. Governing law and disputes

These terms are governed by Ontario law and applicable federal Canadian law, subject to mandatory protections that apply where you live. Courts of competent jurisdiction in Ontario have non-exclusive jurisdiction; this does not remove a right to use another legally required forum.

Please contact contact@ivadesk.com so we can try to resolve a concern. This is a voluntary support step and does not prevent a regulator complaint, urgent relief or timely exercise of a legal right. These terms do not impose mandatory arbitration or a class-action waiver.

17. Changes and contact

We will show an effective date and last-updated date for these terms. Material changes will receive appropriate notice and any renewed acceptance required by law. A change to these terms is not consent to new personal-information processing or broader third-party permissions.

If one provision cannot be enforced, the remaining provisions continue to the extent permitted by law. A separate written agreement may govern a specific business service; conflicts need to be resolved under that agreement and mandatory law, not an assumed waiver.
